1. The agreement
Marqab is a product portfolio tracker provided by Arvyo (Arvyo Limited, 292 Nasir Garden, West Shewrapara, Mirpur, Dhaka-1216, Bangladesh) (“Arvyo”, “we”, “us”). These Terms of Service (“Terms”) form a binding agreement between us and the organisation that creates or uses a Marqab workspace (“Customer”, “you”).
Marqab is a business service. If you accept these Terms on behalf of a company or other organisation, you confirm that you have authority to bind it. If you don’t have that authority, or don’t agree, don’t use Marqab.
Enterprise customers may sign an order form or master agreement with us. Where it conflicts with these Terms, the signed agreement wins.
Our Privacy Policy and Refund & Cancellation Policy form part of these Terms.
2. Accounts
- You need an account to use Marqab. You can sign up with an email address, or with Google or Microsoft if you choose.
- Give us accurate information and keep it current, including a billing contact that is monitored.
- Keep your sign-in credentials secure. You are responsible for activity under accounts in your workspace. Tell us promptly at [email protected] if you suspect unauthorised access.
- Accounts are for individual people. Don’t share one account between several people.
- You must be at least 18, or the age of majority where you live, to create an account.
3. Workspaces and members
Your organisation’s data lives in a workspace. The person who creates a workspace is its first owner. Owners and admins can invite members, assign roles (owner, admin, manager, stakeholder) and restrict what members can see.
- The Customer controls the workspace and is responsible for who it invites and the permissions it gives them.
- Members use Marqab on the Customer’s behalf. The Customer is responsible for members’ compliance with these Terms.
- If a workspace owner leaves your organisation, we may transfer ownership to another admin at the Customer’s verified request.
4. Acceptable use
You agree not to, and not to let anyone else:
- break the law, or infringe anyone’s intellectual property, privacy or other rights, using Marqab;
- upload malware, or content that is unlawful, harassing, or that you have no right to share;
- probe, scan or test the vulnerability of Marqab, or bypass security or usage limits, except under a written arrangement with us;
- overload the service, including through automated access beyond the documented API and its rate limits;
- copy, resell, sublicense or frame Marqab, or use it to build a competing product;
- reverse engineer the service, except to the extent the law expressly allows;
- store payment card numbers, government identifiers, health data or other special-category personal data in workspace content.
We may remove content or restrict access that breaks this section, as described in section 11.
5. Free trial
New workspaces get a 14-day free trial of the Pro plan. No payment card is needed to start. At the end of the trial, the workspace becomes read-only until you choose a paid plan. You can still view and export your data. We may change or end trial offers for new sign-ups at any time.
6. Subscriptions and billing
Plans and billing periods
Paid plans are billed monthly or yearly, in advance. Yearly plans cost 30% less than twelve monthly payments. Plan features, limits and prices are shown on our pricing page and at checkout. Seat limits come with each plan.
Currency and payment
Prices are listed and charged in US dollars (USD). Our order process is conducted by our online reseller and merchant of record, Lemon Squeezy. Lemon Squeezy processes and invoices your order, takes payment, and handles customer service for payment matters and refunds. Your card details are handled by Lemon Squeezy and its payment processors; Marqab doesn’t see or store them. Your bank or card issuer may charge its own fees, for example for currency conversion.
Renewals
Subscriptions renew automatically for the same period, and your payment method is charged at the start of each period, until you cancel.
Late payment
If a renewal payment fails, Lemon Squeezy retries the card over the following days and emails you to update your payment method; you keep full access while it retries. If the payment still fails, the workspace becomes read-only. Members can view and export data, but can’t make changes, until the payment succeeds. We may close workspaces that stay unpaid for a long time, as described in section 9.
Plan changes
Plan changes take effect immediately and are prorated for the rest of the current period by Lemon Squeezy. If a downgrade would put you over the new plan’s limits, you’ll need to reduce usage first.
Price changes
We may change prices. We will give at least 30 days’ notice by email, and new prices apply from your next renewal after that notice.
Invoices
Lemon Squeezy emails a receipt and invoice after every payment, and we list each payment (numbered MQB-####) in Settings → Billing. Enterprise plans are invoiced as agreed in the order form.
7. Taxes
Prices exclude taxes unless stated otherwise. As merchant of record, Lemon Squeezy calculates, collects and remits any sales tax, VAT or GST that applies to your purchase; it is shown at checkout and on your invoice. If you have a valid tax ID, you can enter it at checkout where reverse charge applies.
8. Cancellation and refunds
You can cancel at any time from Settings → Billing or the Lemon Squeezy customer portal. Cancellation takes effect at the end of the current billing period. You keep full access until then, and the subscription doesn’t renew. Refunds are covered by our Refund & Cancellation Policy.
9. Your data
You own it
“Customer Data” means the content you and your members put into Marqab: products, owners, teams, relations, notes, imported activity and similar material. As between us, you own Customer Data. You give us a limited licence to host, copy, process and display it only as needed to provide, secure and support Marqab for you, and as described in our Privacy Policy. We don’t sell Customer Data or use it to advertise to anyone.
Export
You can export your whole workspace as JSON, or individual tables as CSV, at any time. This includes while the workspace is on a trial that has ended, while a failed payment is being retried, or read-only.
Deletion
Workspace owners can delete a workspace from Settings. When a workspace is deleted, or closed after long non-payment, we delete Customer Data from our live systems within 30 days. It is removed from backups within 90 days, unless the law requires us to keep it. We give at least 30 days’ notice by email before closing an unpaid workspace.
Your responsibilities
You are responsible for Customer Data’s accuracy and legality, and for having the rights and consents needed to put it into Marqab, including any personal data about your staff or others.
10. Third-party services
Marqab can connect to services such as GitHub, GitLab, Jira, Slack, Google and Microsoft. When you connect one, you authorise us to exchange data with it on your behalf. Your use of those services is governed by their terms, and we aren’t responsible for them. You can disconnect an integration at any time.
11. Suspension and termination
We may suspend or limit access to all or part of a workspace if:
- you seriously or repeatedly break these Terms, including acceptable use;
- your use threatens the security, integrity or availability of Marqab for others;
- payment still fails after Lemon Squeezy’s retries (read-only, as described above); or
- the law or an authority requires it.
Where it’s reasonable to do so, we will tell you first and give you a chance to fix the problem. We lift a suspension once the cause is resolved.
You may stop using Marqab at any time. Either party may terminate these Terms if the other materially breaches them and doesn’t fix the breach within 30 days of written notice. When these Terms end, sections 9 (export for 30 days, and deletion), 12–18 and any unpaid fees survive.
12. Our service and feedback
Marqab, including its software, design and documentation, belongs to Arvyo and its licensors. These Terms give you no rights in it except the right to use it during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.
13. Disclaimer of warranties
We work hard to keep Marqab reliable and accurate. But except as expressly stated in these Terms, Marqab is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the service will be uninterrupted or error-free. Answers in Ask and other computed views are derived from your workspace data. Their accuracy depends on that data, and you should check them before relying on them for important decisions.
14. Limitation of liability
To the fullest extent the law allows:
- neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised they were possible; and
- each party’s total liability arising out of or relating to these Terms is limited to the fees you paid us for Marqab in the 12 months before the event giving rise to the claim. If you’re on a free trial, the limit is USD 100.
These limits don’t apply to your payment obligations, to either party’s indemnity obligations, or to liability that can’t be limited by law, such as liability for fraud.
15. Indemnity
You will defend and indemnify Arvyo against third-party claims arising from Customer Data or from your or your members’ breach of acceptable use. We will defend and indemnify you against third-party claims that Marqab, used as permitted, infringes their intellectual property rights. The indemnified party must promptly notify the other of the claim, let it control the defence, and reasonably cooperate.
16. Governing law and disputes
These Terms are governed by the laws of the People’s Republic of Bangladesh. The courts of Dhaka have exclusive jurisdiction over any dispute arising from them. Before starting proceedings, each party agrees to try in good faith to resolve the dispute by contacting the other for at least 30 days.
17. Changes to these terms
We may update these Terms, and the date at the top will change when we do. For material changes, we will notify workspace owners by email or in the app at least 30 days before they take effect. If you continue using Marqab after that date, you accept the new Terms. If you don’t agree, you can cancel before then, and we will refund any prepaid fees for the period after the change.
18. General
- Entire agreement. These Terms and the documents they refer to are the whole agreement between us about Marqab.
- Assignment. Neither party may assign these Terms without the other’s consent. The exception is a merger, acquisition or sale of substantially all assets, with notice to the other party.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Severability and waiver. If a provision is unenforceable, the rest still apply. Not enforcing a right is not a waiver of it.
- Notices. We send notices to the workspace owner’s email address. You send notices to [email protected].
- Independent parties. Nothing in these Terms creates a partnership, agency or employment relationship.
